1. Acceptance of terms
By creating an account or using Group Factor in any way, you agree to be bound by these Terms of Service. If you are using Group Factor on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms, and references to "you" include that organisation.
If you do not agree to these terms, do not use the service.
2. Description of service
Group Factor is a SaaS platform that helps teams share two-factor authentication (2FA) codes. The service includes:
- Provisioning of dedicated team phone numbers via Twilio, which receive inbound SMS messages containing 2FA codes and relay them to all members of the relevant team.
- Storage of TOTP (Time-based One-Time Password) secrets, enabling Group Factor to generate rotating 6-digit codes on behalf of your team without requiring each member to hold the secret individually.
- Optional forwarding of received SMS codes to team members' personal phone numbers.
- Optional delivery of codes to a configured Slack channel via webhook.
The service depends on third-party infrastructure including Twilio (for telephony) and Stripe (for billing). We are not responsible for service disruptions attributable to those providers.
3. Acceptable use
You agree to use Group Factor only for lawful purposes and in accordance with these terms. Specifically, you agree that you will not:
- Configure the service with phone numbers or online accounts that you do not own or are not authorised to access on behalf of the account holder.
- Use your team's Twilio-provisioned number to send outbound spam, bulk marketing messages, or any unsolicited communications.
- Attempt to relay 2FA codes for accounts involved in fraud, credential stuffing, or any other illegal or unauthorised activity.
- Attempt to reverse-engineer, scrape, or otherwise interfere with the platform or its underlying infrastructure.
- Use the service in any way that violates applicable laws or regulations, including those governing telecommunications, data protection, or computer access.
We reserve the right to determine, in our reasonable discretion, whether use of the service is acceptable. Violations may result in immediate suspension or termination of your account.
4. Account registration
To use Group Factor you must register an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, notify us at support@groupfactor.io immediately.
You may not share your account with others or create accounts on behalf of third parties without their knowledge and consent.
5. Subscription and billing
Group Factor is billed per team, per month through Stripe. A team is an organisational unit within your account with its own phone number and member list; each team you create counts toward your subscription quantity. Pricing is tiered based on the number of teams on your account:
- Business (1–2 teams) — $25 per team/month, or $20.83 per team/month billed annually
- Enterprise (3+ teams) — $20 per team/month, or $16.67 per team/month billed annually
Your subscription tier adjusts automatically as you add or remove teams. Current pricing is always shown at groupfactor.io/home#pricing.
New subscriptions include a 3-day free trial. A valid payment card is required to start a trial. You will not be charged during the trial period, but your card will be billed on the first day after the trial ends unless you cancel beforehand.
- Subscriptions renew automatically on the same calendar day each month unless cancelled.
- You may cancel a team's subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; the team remains accessible until then.
- We do not provide refunds for partial months or unused time remaining after cancellation.
- If a payment fails, we will attempt to retry the charge. If payment cannot be collected, your team may be suspended until the outstanding balance is settled.
Prices may change in the future. We will give you at least 30 days' notice of any price increase, and continued use of the service after that date constitutes acceptance of the new price.
6. Service availability
We aim to keep Group Factor available at all times but we provide no uptime guarantee or service-level agreement. The service is provided on a best-efforts basis.
Scheduled maintenance, infrastructure incidents, and outages at third-party providers — including Twilio and Stripe — may cause the service to be temporarily unavailable or to deliver codes with a delay. Because 2FA codes are time-sensitive by nature, we cannot guarantee that a code will be received and displayed within any particular timeframe.
We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice, though we will endeavour to provide reasonable advance notice of significant changes.
7. Intellectual property
Group Factor and its original content, features, design, and source code are and remain the exclusive property of Group Factor and its licensors. Nothing in these terms transfers any intellectual property rights to you.
Your data — including TOTP secrets you upload, team names, member information, and any other content you provide — remains yours. You grant us a limited licence to store and process that data solely for the purpose of providing the service to you. We will not sell, rent, or share your data with third parties except as necessary to operate the service (e.g. Twilio processes phone numbers in order to provision and route SMS messages).
8. Termination
You may cancel your account and all teams at any time from your account settings or by emailing support@groupfactor.io. Upon cancellation, your data will be retained for a short period to allow for any billing disputes, after which it will be deleted.
We may suspend or terminate your account immediately, without prior notice, if we determine that you have violated these terms, that your use of the service poses a risk to other users or our infrastructure, or if we are required to do so by law. In the event of termination for cause, no refund will be issued for any unused portion of a paid period.
9. Limitation of liability
To the maximum extent permitted by applicable law, Group Factor and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of access to accounts, or costs incurred as a result of a missed or delayed 2FA code.
In particular, you acknowledge that:
- 2FA codes are time-sensitive and may expire before they are displayed or acted upon. We cannot guarantee delivery timing.
- Temporary unavailability of the service may prevent you from completing a login or authentication flow. You are responsible for maintaining alternative access methods where critical.
Our total liability to you for any claim arising out of or relating to these terms or the service will not exceed the amount you paid to us in the three months immediately preceding the event giving rise to the claim.
10. Disclaimer of warranties
The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.
11. Governing law
These terms are governed by and construed in accordance with applicable law. Any disputes arising under these terms will be resolved through good-faith negotiation in the first instance. If a dispute cannot be resolved informally, the parties agree to submit to the jurisdiction of the courts in the applicable jurisdiction.
12. Changes to these terms
We may update these Terms of Service from time to time. For material changes — such as changes to pricing, data handling, or your legal rights — we will notify you by email to the address associated with your account at least 14 days before the changes take effect.
Your continued use of Group Factor after changes become effective constitutes your acceptance of the updated terms. If you do not agree with a change, you should cancel your account before it takes effect.
Non-material updates (such as clarifications to existing terms) may be made without prior notice. The "Last updated" date at the top of this page reflects the date of the most recent revision.
